These Terms set out the conditions for using ShopStaff, a service for Shopify (the “Service”) provided by bunny inc. (“we”, “us” or “our”). Merchants who use the Service (“Users”) must agree to these Terms before using it.
Article 1 (Application)
These Terms apply to the conditions on which the Service is provided and to the relationship between Users and us. By installing or using the Service, you are deemed to have agreed to these Terms.
Article 2 (The Service)
The Service is an AI assistant that provides analysis of sales, traffic and websites, improvement suggestions, and notifications (by email, LINE, etc.) based on data from the User’s Shopify store and other sources.
Article 3 (Registration, integrations and permissions)
Users use the Service by installing the Shopify app, granting the necessary API permissions and connecting external services (such as Google Search Console). Users are responsible for authorising and removing integrations and for managing Shopify administrator permissions.
Article 4 (Data and legal compliance)
Users represent and warrant that any data they connect to or enter into the Service has been lawfully obtained, and that they have the permissions, notices, consents and other legal grounds required for it to be processed by the Service. Users are responsible, at their own risk, for displaying privacy policies to their customers, providing notices and obtaining consent relating to cookies and Web Pixels, handling unsubscribes, and taking any other measures required under applicable law.
Article 5 (AI output)
The analyses, forecasts, improvement suggestions, draft notifications and other output provided by the Service are for reference only and do not guarantee higher sales, advertising effectiveness, search rankings, legal compliance or any other particular result. They are not legal, tax, accounting, medical or other professional advice. Users must check the output and decide whether to adopt it at their own responsibility.
Article 6 (Fees and payment)
Fees for the Service are as set out on the pricing page (tax inclusive). Fees for paid plans are charged through Shopify Billing (Managed Pricing), and Users pay Shopify. We receive payment from Shopify after deduction of its prescribed fees and the like. Paid plans renew automatically every month until cancelled. Billing dates, billing cycles, proration on plan changes, refund processing and other billing conditions follow the specifications of Shopify Billing and what is shown on the sign-up screen. Refunds after cancellation follow the provisions of our Legal notice under the Act on Specified Commercial Transactions. We may revise fees due to changes in economic conditions, exchange rates, the cost of external services and AI, or other circumstances. If we revise fees, we will give advance notice by displaying it on the Service or by other appropriate means, and the revised fees will apply from the billing cycle on or after the effective date stated in the notice.
Article 7 (Prohibited conduct)
Users must not do any of the following:
- Anything that breaches the law or public order and morals
- Interfering with the operation of the Service, unauthorised access, or reverse engineering
- Infringing the rights of us or any third party
- Using the analyses and suggestions obtained for resale to third parties or for any other purpose we consider inappropriate
Article 8 (Sanctions, export controls and prohibited goods)
Users must comply with applicable export control, economic sanctions, anti-money laundering, counter-terrorist financing and other laws. Users must not use the Service for dealing in illegal goods, transactions with sanctioned parties, or any other business that Shopify or we consider inappropriate.
Article 9 (Exclusion of anti-social forces)
Users represent and warrant that neither they nor their officers, beneficial owners, employees or other related persons are organised crime groups (boryokudan), members or quasi-members of such groups, corporate racketeers (sokaiya), persons who extort under the guise of social movements, special intelligence crime groups, or any other persons equivalent to these (“Anti-Social Forces”). If a User breaches this article, we may suspend the Service or terminate the contract without any notice.
Article 10 (External services)
The Service may integrate with Shopify, Google, Meta, LINE and other third-party services. All or part of the Service may become unavailable due to changes to, suspension of, or failures in these services, API limits, account suspensions and the like. Except where we are at fault, we are not liable for any damage arising from this.
Article 11 (Changes, interruption and termination of the Service)
We may change the content of the Service, or interrupt or end its provision, without prior notice to Users. We are liable for any resulting damage to Users only to the extent set out in these Terms.
Article 12 (Disclaimer and limitation of liability)
The Service is provided as is, without any guarantee of uptime or otherwise. The Service is provided for merchants acting as businesses. Where we are liable to a User for damages in connection with the Service, except in cases of our wilful misconduct or gross negligence, our liability is limited to ordinary and direct damages actually incurred, up to the total Service fees the User paid us in the 3 months immediately before the month in which the damage occurred. If that total is ¥0, the limit is ¥10,000. Even if part of this article is invalid under the Consumer Contract Act or other laws, it applies to the maximum extent permitted by those laws.
Article 13 (Handling of data)
The handling of data belonging to Users and their customers is governed by our separate Privacy Policy. With respect to personal data about a merchant’s customers, we act, as a rule, as a party processing that data on the merchant’s behalf. To check how the Service is being provided and to improve the quality of suggestions, we may review and verify, in an access-restricted operating environment, the analyses, improvement suggestions and generated text the Service has provided to Users, along with records of how they were generated (including inputs to and outputs from AI).
Article 14 (Cancellation and refunds)
Users may cancel the Service at any time by removing the app or cancelling their plan. After cancellation, charges stop from the next renewal onward in accordance with the specifications of Shopify Billing. We do not give prorated refunds for fees already incurred for the current month or billing cycle (given the nature of a digital service, as a rule we do not give refunds once use has begun; for details, see our Legal notice under the Act on Specified Commercial Transactions). On cancellation, we delete data related to the User in accordance with our policies.
Article 15 (Business use)
The Service is intended for Users who operate a Shopify store as a business. Users represent and warrant that they have the authority and capacity needed to use the Service.
Article 16 (Changes to these Terms)
We may change these Terms when we consider it necessary, in accordance with the provisions of the Civil Code of Japan on changes to standard terms. Changed Terms take effect from the time they are displayed on the Service or otherwise notified by a method we specify.
Article 17 (Survival)
Provisions that by their nature should survive — including those on payment of fees, prohibited conduct, intellectual property rights, handling of data, confidentiality, disclaimers, limitation of liability, and governing law and jurisdiction — remain in effect after the contract ends.
Article 18 (Governing law and jurisdiction)
These Terms are governed by the laws of Japan. Any dispute relating to the Service is subject to the exclusive jurisdiction of the Chiba District Court as the court of first instance.
